By accessing or using Trackelly ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access the Service.

Trackelly provides a business management platform that includes invoice tracking, password management, file sharing, task management, and related features (collectively, the "Service").

You must create an account to use the Service. You agree to:

Maintain and update your information
Maintain the security of your account credentials
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use

4.2 Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement.

5. Subscription and Payment

5.1 Pricing

The Service is offered on a subscription basis at $9.99 per user per month, unless otherwise specified. Prices are subject to change with 30 days' notice.

5.2 Free Trial

We may offer a 14-day free trial. We will notify you before charging your payment method.

5.3 Payment

Payment is processed monthly in advance. You authorize us to charge your payment method for all fees. If payment fails, we may suspend or terminate your access.

5.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months, except as required by law.

6. Acceptable Use

You agree not to:

Use the Service for any illegal purpose
Violate any applicable laws or regulations
Infringe on intellectual property rights
Upload malicious code, viruses, or harmful content
Attempt to gain unauthorized access to the Service
Interfere with or disrupt the Service
Use automated means to access the Service without permission
Resell or redistribute the Service
Harass, abuse, or harm others
Impersonate any person or entity

7. Content and Intellectual Property

7.1 Your Content

You retain ownership of content you upload ("Your Content"). By uploading content, you grant us a license to store, process, and display it as necessary to provide the Service.

7.2 Our Intellectual Property

The Service, including all software, text, graphics, logos, and other content (excluding Your Content), is owned by Trackelly ApS and protected by intellectual property laws.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We implement security measures to protect your data, but cannot guarantee absolute security.

9. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service at any time, with or without notice.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACKELLY APS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Trackelly ApS from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service ceases immediately.

14. Governing Law

These Terms are governed by the laws of Denmark. Any disputes shall be resolved in the courts of Copenhagen, Denmark.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes. Continued use after changes constitutes acceptance.
